I. Basic Information on Daily Related Transactions
(1) Overview of Daily Related Transactions
In accordance with the Company Law of the People's Republic of China, the Shenzhen Stock Exchange GEM Listing Rules, the Shenzhen Stock Exchange Self-Regulatory Guidelines No. 2 for GEM Listed Companies, the Shenzhen Stock Exchange Self-Regulatory Guidelines No. 7 on Transactions and Related Transactions, and the Articles of Association of Nantong Taihe Chemical Co., Ltd. (hereinafter referred to as "the Articles of Association"), as well as the Related Transaction Management Measures of Nantong Taihe Chemical Co., Ltd., the company has made reasonable estimates of its daily related transactions for 2026. On April 23, 2026, the company held the seventh meeting of the fourth board of directors, which reviewed and approved the proposal on the expected daily related transactions for 2026. This proposal was reviewed by a special meeting of independent directors, who expressed their agreement, and the sponsor institution provided a verification opinion. Mr. Tian Xiaohong, a related director, abstained from voting on this proposal. This related transaction does not constitute a major asset reorganization as defined by the Measures for the Administration of Major Asset Restructuring of Listed Companies. The proposal still needs to be submitted to the company's 2025 annual shareholders' meeting for review.
