1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Spare Matter Corp, a corporation ("Spare Matter," "we," "us," or "our"), governing your access to and use of SZSE Releases at szse.io (the "Service"). By accessing or using the Service, you confirm that you are at least 13 years old, have the legal capacity to enter into these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Service description

SZSE Releases ingests publicly available announcements from the Shenzhen Stock Exchange (SZSE) and provides machine-translated English summaries and full translations. We do not guarantee the accuracy, completeness, or timeliness of any translated content. All content is provided for informational purposes only and does not constitute financial, investment, legal, or professional advice. You should not rely on content from the Service to make investment decisions.

3. Accounts and eligibility

  • You must provide a valid email address and keep your account credentials confidential. You are responsible for all activity under your account.
  • You may not create an account on behalf of another person without their express authorisation.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Free and Pro subscription tiers

The Service is offered in two tiers:

  • Free tier. Registered users may view a limited number of full release translations per calendar month (the "Free Limit"). The Free Limit is displayed in your account dashboard and may change with reasonable advance notice.
  • Pro tier. Paying subscribers receive unlimited full translations, the ability to follow companies, and email alerts for new announcements from followed companies.

5. Payments, billing, and cancellation

  • Pro subscriptions are billed on a monthly recurring basis via Stripe, Inc., our third-party payment processor. By subscribing, you authorise Stripe to charge your payment method on the billing date each month.
  • All prices are in US dollars and exclusive of any applicable taxes. You are responsible for any taxes imposed on your subscription in your jurisdiction.
  • You may cancel your Pro subscription at any time through the billing portal accessible from your dashboard. Cancellation takes effect at the end of the then-current billing period; you will retain Pro access until that date.
  • We do not offer prorated refunds for partial billing periods, except where required by applicable law.
  • If a payment fails, we will attempt to notify you. Continued failure to pay may result in downgrade to the Free tier.
  • Spare Matter Corp reserves the right to change subscription pricing with at least 30 days' notice. Your continued use of the Pro tier after the price change takes effect constitutes acceptance of the new price.

6. Advertising

The Service may display advertisements served by Google AdSense (Google LLC). These ads are delivered by Google and may use cookies and similar technologies to show personalised advertisements based on your browsing history. Spare Matter Corp is not responsible for the content of third-party advertisements. Ad personalisation is governed by Google's advertising policies; you may opt out at adssettings.google.com. We are enrolled in the Google AdSense programme and may receive compensation when you view or click on ads displayed on the Service.

7. Intellectual property

All software, design, and original content on the Service is owned by or licensed to Spare Matter Corp and protected by copyright and other intellectual property laws. Original SZSE announcement text remains the property of the Shenzhen Stock Exchange and respective listed companies. Our translated summaries are provided under a limited, non-exclusive, non-transferable licence for your personal informational use only.

8. Prohibited use

You may not:

  • Scrape, bulk-download, resell, sublicense, or redistribute any content from the Service without prior written permission from Spare Matter Corp.
  • Use automated tools to access the Service in ways that exceed normal human browsing, except via officially documented APIs.
  • Attempt to circumvent quota limits, access controls, or subscription gating.
  • Use the Service in any manner that violates applicable laws or regulations, including securities laws.
  • Post or transmit malicious code, spam, or harmful content through any feature of the Service.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF TRANSLATIONS. SPARE MATTER CORP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPARE MATTER CORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SPARE MATTER CORP'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) US $50.

11. Indemnification

You agree to indemnify and hold harmless Spare Matter Corp and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the courts located in Ontario, Canada, and you consent to personal jurisdiction in those courts.

13. Termination

Spare Matter Corp may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 7, 9, 10, 11, and 12 survive termination.

14. Changes to these Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date above. Material changes will be communicated via email or a notice on the Service at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spare Matter Corp regarding the Service.
  • Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions remain in full force.
  • Waiver. Our failure to enforce any right or provision is not a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely.
