I. Resignation of Directors and Senior Management Recently, the Board of Directors of Guangdong Provincial Research Institute of Building Science Group Co., Ltd. (hereinafter referred to as the "Company") received written resignation reports from Mr. Yang Shichao, former non-independent director and General Manager, and Mr. Xie Xiaofeng, former Deputy General Manager.
Mr. Yang Shichao has applied to resign from his positions as non-independent director and General Manager due to retirement. After resigning from these positions, the Company plans to re-employ him as the Company's Chief Expert. His original term was set to expire at the end of the term of the third Board of Directors. In accordance with the "Company Law of the People's Republic of China," the "Articles of Association of Guangdong Provincial Research Institute of Building Science Group Co., Ltd.," and other relevant regulations, Mr. Yang Shichao's resignation will not result in the number of directors on the Board falling below the statutory minimum, nor will it affect the normal operation of the Board or the Company's normal production and operation. Mr. Yang Shichao's resignation report shall take effect from the date it is delivered to the Board of Directors.
Mr. Xie Xiaofeng has applied to resign from his position as Deputy General Manager due to work reasons. After his departure, he will serve as the Company's General Manager. His original term was set to expire at the end of the term of the third Board of Directors. Mr. Xie Xiaofeng's resignation report shall take effect from the date it is delivered to the Board of Directors.
As of the date of this announcement, Mr. Yang Shichao holds 500,000 shares of the Company, accounting for 0.12% of the Company's total share capital. Mr. Xie Xiaofeng holds 600,000 shares of the Company, accounting for 0.14% of the Company's total share capital.
