CITIC Construction Investment Securities Co., Ltd. (hereinafter referred to as "CITIC Construction Investment" or "Sponsor") is the sponsor for the initial public offering of Aidi Te (Qinhuangdao) Technology Co., Ltd. (hereinafter referred to as "Aidi Te" or "Company"). In accordance with relevant regulations, including the "Administrative Measures for Securities Issuance and Listing Sponsorship," the "Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 13 - Sponsorship Business," the "Listing Rules for Growth Enterprise Market Stocks on the Shenzhen Stock Exchange," and the "Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 2 - Standardized Operations for Growth Enterprise Market Listed Companies," CITIC Construction Investment has conducted a prudent verification of the estimated daily related transactions for Aidi Te in 2026. The specific situation is as follows:
I. Basic Situation of Daily Related Transactions
(1) Overview of Daily Related Transactions
Based on the actual situation of daily related transactions of the Company and its subsidiaries in 2025, combined with the business development needs, the total amount of daily related transactions that the Company and its subsidiaries may have with related parties in 2026 is estimated to be no more than RMB 180 million. In 2025, the estimated transaction amount with related parties was no more than RMB 130 million, while the actual transaction amount was RMB 108.009 million. The Company held the fourth meeting of the fourth board of directors on April 28, 2026, and approved the proposal on the estimated amount of daily related transactions for 2026. This proposal was reviewed and approved by the first meeting of the independent directors on April 17, 2026. The estimated amount of daily related transactions for 2026 still needs to be submitted to the shareholders' meeting for approval.
