I. Putback Terms and Price
(I) Reason for Triggering the Putback Clause
Mars Appliance Co., Ltd. (hereinafter referred to as the "Company") held its Eighth Meeting of the Fourth Board of Directors on June 27, 2026, and held its First "Huo Xing Convertible Bonds" Bondholder Meeting and its Second Extraordinary General Meeting of Shareholders on July 15, 2026, respectively. The proposal to terminate the fundraising project and continue to deposit the remaining raised funds in the dedicated account was deliberated and approved.
