Zheshang Securities Co., Ltd. (hereinafter referred to as the "Sponsoring Institution" or "Zheshang Securities") has been entrusted by Luoyang Xinqianglian Slewing Bearing Co., Ltd. (hereinafter referred to as "Xinqianglian," "the Company," or "the Issuer") to serve as the sponsoring institution for its private placement of shares to specific objects.
The Sponsoring Institution and its sponsoring representatives, in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), and other relevant regulations of the China Securities Regulatory Commission (hereinafter referred to as the "CSRC") and the Shenzhen Stock Exchange (hereinafter referred to as the "SZSE"), have acted in good faith, with diligence and responsibility, and strictly in accordance with the legally formulated business rules, industry practice, and ethical standards, to issue this Listing Sponsorship Letter, ensuring that the information provided is true, accurate, and complete.
Unless otherwise indicated, the definitions of terms used in this Listing Sponsorship Letter are consistent with those in the "Prospectus for the 2025 Private Placement of Shares by Luoyang Xinqianglian Slewing Bearing Co., Ltd."
