Chapter 1 General Principles
Article 1
To further improve the compensation management system of Wuhan Dier Laser Technology Co., Ltd. (hereinafter referred to as "the Company"), establish a scientific and effective incentive and restraint mechanism, fully motivate the work enthusiasm of the Company's directors, and enhance the operational management efficiency of the Company, this system is formulated in accordance with the "Code of Corporate Governance for Listed Companies," "Measures for the Administration of Independent Directors of Listed Companies," "Shenzhen Stock Exchange GEM Listing Rules," and other relevant national laws, regulations, normative documents, and the provisions of the "Articles of Association," combined with the actual situation of the Company.
Article 2
This system applies to directors as stipulated in the "Articles of Association," categorized into three types based on their identity and work nature: (1) Independent Directors; (2) Non-Executive Directors; (3) Executive Directors. The Company's director compensation system adheres to the following principles: (1) Based on job value, prioritizing performance, reflecting the value concept of sharing benefits and bearing risks with the Company; (2) Linked to the Company's performance and work objectives, coordinated with the Company's sustainable development; (3) Emphasizing both incentives and constraints, highlighting results orientation; (4) Open, fair, and transparent.
