I. Basic Information of the Agreement Transfer
On June 9, 2026, Suzhou Suda Weige Technology Group Co., Ltd. (hereinafter referred to as the "Company" or "Suda Weige"), its controlling shareholder and actual controller Mr. Chen Linsen, and shareholder Mr. Yu Zhangxing holding more than 5% of the shares (hereinafter collectively referred to as the "Transferors"), and Ningbo Hede Investment Management Co., Ltd. (acting on behalf of Hede Shangxue Growth Private Securities Investment Fund, hereinafter referred to as the "Hede Shangxue Fund" or the "Transferee") signed the "Agreement on the Transfer of Shares of Suzhou Suda Weige Technology Group Co., Ltd." (hereinafter referred to as the "Share Transfer Agreement"). Mr. Chen Linsen intends to transfer 11,914,848 unrestricted shares of the Company (accounting for 4.59% of the total share capital) to Hede Shangxue Fund; Mr. Yu Zhangxing intends to transfer 1,070,000 unrestricted shares of the Company (accounting for 0.41% of the total share capital) to Hede Shangxue Fund.
