According to the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Corporate Governance Guidelines for Listed Companies," "Measures for the Selection of Accountant Firms by State-owned Enterprises and Listed Companies," "Shenzhen Stock Exchange Listed Company Self-regulatory Supervision Guidelines No. 2 - Normative Operation of GEM Listed Companies," and the "Articles of Association" and "Audit Committee Work Rules," the Audit Committee of the Board of Directors of Beijing君正集成电路股份有限公司 (hereinafter referred to as the "Company") has, with the principle of diligence and responsibility, performed its duties diligently. The report on the supervision of the engagement of Xinyongzhonghe Certified Public Accountants (Special General Partnership) (hereinafter referred to as "Xinyongzhonghe") is as follows:
I. Basic Information of the Accountant Firm for Fiscal Year 2025
Xinyongzhonghe was established on March 2, 2012, with its registered address at 8th Floor, Fuhua Building, Chaoyangmen North Street, Dongcheng District, Beijing, and its chief partner is Mr. Tan Xiaoqing. As of December 31, 2025, Xinyongzhonghe has 257 partners (shareholders) and 1,799 certified public accountants. The number of certified public accountants who have signed audit reports for securities service business exceeds 700. Xinyongzhonghe's business revenue for 2024 was RMB 4.054 billion (including unified operations), of which audit business revenue was RMB 2.587 billion and securities business revenue was RMB 0.976 billion. In 2024, Xinyongzhonghe audited 383 listed companies' annual reports, with a total fee of RMB 0.471 billion. The industries involved mainly include manufacturing, information transmission, software and information technology services, transportation, warehousing and postal services, electricity, heat, gas and water production and supply, finance, culture, sports and entertainment, wholesale and retail, construction, mining, leasing and business services, water conservancy, environmental protection and public facilities management, etc. The number of audit clients in the same industry as the Company is 32.
