Bestway Marine & Energy Technology Co., Ltd. (hereinafter referred to as "Bestway Marine" or the "Company") is a company listed on the ChiNext market of the Shenzhen Stock Exchange. To meet the needs of the Company's business development and to enhance its profitability and market competitiveness, the Company has prepared this demonstration and analysis report on the issuance of A-shares to specific targets in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for the Registration of Securities Issuance by Listed Companies, and other relevant laws, regulations, and normative documents.

I. Background and Purpose of the Issuance of Shares to Specific Targets
(I) Background of the Issuance to Specific Targets
- Support from Major National Strategic Industrial Policies
In the field of marine engineering, the state has introduced a series of policies to encourage and support the shipbuilding industry to promote technological progress and the sustained and healthy development of the industry. In December 2023, five departments, including the Ministry of Industry and Information Technology and the National Development and Reform Commission, jointly released the "Action Plan for Green Development of the Shipbuilding Industry (2024—2030)," proposing that by 2030, a green development system for the shipbuilding industry will be basically established. This includes forming a complete supply capability for green ship products, achieving internationally advanced levels in green ship technology, and maintaining a leading global market share. The "Outline of the 15th Five-Year Plan for National Economic and Social Development," released in March 2026, lists the shipbuilding industry as one of the industries to "promote the quality improvement and upgrading of key industries," and explicitly proposes to "strengthen and optimize high-quality steel bases, world-class petrochemical bases, and high-end shipbuilding and marine engineering equipment bases."
In the field of defense equipment, the state has introduced a series of policies to encourage and support the unmanned vessel industry to promote technological progress and the sustained and healthy development of the industry. In January 2024, seven departments, including the Ministry of Industry and Information Technology, the Ministry of Education, and the Ministry of Science and Technology, released the "Implementation Opinions on Promoting the Innovation and Development of Future Industries," proposing to meet major national strategic needs and the people's needs for a better life, accelerate the implementation of key technical equipment research projects, and achieve breakthroughs in high-end equipment products such as humanoid robots, quantum computers, ultra-high-speed trains, next-generation large aircraft, green intelligent ships, and unmanned vessels. The "Outline of the 15th Five-Year Plan for National Economic and Social Development," released in March 2026, explicitly proposes to "achieve the centenary goal of the founding of the army as scheduled, and promote the modernization of national defense and the military with high quality," requiring "accelerated construction of unmanned intelligent combat forces and countermeasure capabilities," and promoting the deep integration of military and civilian development.
