Guangdong Haomei New Material Co., Ltd. 2025 Annual Independent Director's Report (Reporting Person: Xu Guofu) As an independent director of Guangdong Haomei New Material Co., Ltd. (hereinafter referred to as the "Company"), in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Guiding Opinions on Establishing a Sound Corporate Governance Structure for Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guide No. 1 - Normative Operation of Main Board Listed Companies," and the "Articles of Association" and the "Independent Director Work System," I have diligently performed my duties, actively attended relevant meetings, carefully reviewed various proposals submitted to the board of directors, expressed independent opinions on relevant company matters, and effectively protected the interests of the company and shareholders. The following is a report on my performance of independent director duties during my term in 2025:
I. Basic Information of Independent Director Born in 1966, I am a Chinese national with no permanent overseas residency. I hold a postgraduate degree and a doctoral degree, am a Level II Professor of Materials Science and Engineering, and a doctoral supervisor. I obtained my doctorate in Materials Science and Engineering from Central South University and was a visiting scholar at Hokkaido University, Japan. My past positions include technician, senior engineer, professor in the Department of Materials Science and the School of Materials Science and Engineering at Central South University, and Vice Dean of the School of Materials Science and Engineering. Currently, I serve as the Chairman of the Academic Committee of the School of Materials Science and Engineering at Central South University, Director of the National Demonstration Center for Experimental Teaching of Materials Science and Engineering, and Executive Deputy Director of the Key Laboratory of Nonferrous Metal Materials Science and Engineering of the Ministry of Education. Since September 2025, I have served as an independent director of the Company.
During the reporting period, my position met the independence requirements stipulated in Article 6 of the "Guiding Opinions on Establishing a Sound Corporate Governance Structure for Listed Companies," and there were no circumstances that affected my independence.
II. Attendance at Meetings in 2025
(I) Attendance at Board of Directors and Shareholders' Meetings During my term in 2025, the Company convened 3 shareholders' meetings (the First Extraordinary Shareholders' Meeting of 2025, the Second Extraordinary Shareholders' Meeting of 2025, and the Third Extraordinary Shareholders' Meeting of 2025) and 4 board of directors' meetings. As an independent director, I actively and proactively collected background information on relevant proposals before the meetings, attended on time, participated diligently in discussions on all proposals, and exercised my voting rights with a rigorous attitude, thereby effectively fulfilling the duties and powers granted to independent directors by relevant laws and regulations. I did not have any absences or miss two consecutive meetings without attending in person.
