I. Basic Situation of Related Party Transactions
(I) Overview of Related Party Transactions
The Bank's related party transactions refer to the transfer of resources or obligations between the Bank or its holding subsidiaries and the Bank's related parties. These primarily include credit, asset transfer, and service transactions with related parties during normal business operations. Specific transaction details are subject to the regulations of regulatory authorities and the Bank's "Related Party Transaction Management Measures."
On March 27, 2026, the Bank's Eighth Board of Directors held its First Special Meeting of Independent Directors for 2026. The proposal on "Zhengzhou Bank Co., Ltd.'s 2026 Annual Expected Related Party Transaction Quotas" was unanimously approved, and it was agreed to submit this matter for review by the Bank's Board of Directors and Shareholders' Meeting.
On March 30, 2026, the Bank's Eighth Board of Directors held its Fifth Meeting, which reviewed and approved the "Proposal on Zhengzhou Bank Co., Ltd.'s 2026 Annual Expected Related Party Transaction Quotas." Related directors Ms. Zhang Jinhong and Mr. Liu Bingheng, and Mr. Wei Zhigang recused themselves from voting on the related sub-proposals. This proposal on expected related party transaction quotas needs to be submitted for review by the Bank's Shareholders' Meeting, and related shareholders need to recuse themselves from voting.
(II) Expected Categories and Amounts of Related Party Transactions
The Bank's expected quota for related party transactions in 2026 does not constitute credit granting or transaction commitments to related party customers. When actual transactions occur, they shall be subject to the written approval issued by the Bank's authorized approval body. The quota plan for these expected related party transactions will take effect from the date of approval by the Shareholders' Meeting of the current year until the date of approval of the new expected related party transaction quotas by the Shareholders' Meeting of the following year.
