As an independent director of Citsltd. (hereinafter referred to as the "Company"), I have strictly abided by the "Company Law," "Securities Law," "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Stock Listing Rules," "Shenzhen Stock Exchange Main Board Listed Company Normative Operation" and other laws, regulations, and normative documents, as well as the provisions of the "Company Articles of Association" and the "Independent Director Work System." Upholding the principles of objectivity, fairness, and independence, I have diligently performed my rights and obligations, actively attended company meetings, conscientiously reviewed all proposals, expressed opinions on major company matters, and fully exercised the role of an independent director, adhering to professional ethics, safeguarding the overall interests of the company, and protecting the legitimate rights and interests of all shareholders, especially the vast number of small and medium shareholders.
Due to personal reasons, I have resigned. Following the election of new independent directors at the Company's first extraordinary general meeting of shareholders in 2025 on February 14, 2025, my term has expired, and I have officially stepped down, no longer holding any position in the Company. My name is Huang Zhenzhong. I have previously served as a senior economist and deputy section chief in the General Office and Asset Management Department (Enterprise Reform Department) of China Petrochemical Corporation, a lawyer at Beijing Deheng Law Firm and Beijing Jingshi Law Firm, assistant dean and deputy dean of the Law School of Beijing Normal University, and director of the Legal Advisor Office of Beijing Normal University. I also served as deputy director of the People's Procuratorate of Tibet Autonomous Region, member of the Party Group, member of the Procuratorial Committee (seconded). I have served as an independent director of China Energy Conservation and Environmental Protection Group Solar Energy Technology Co., Ltd., Sinopec Oilfield Equipment Corporation, Beijing Leadman Biochemistry Co., Ltd., and Ciwen Media Group Co., Ltd. I am currently concurrently serving as the Chairman of Beijing F&S Digital Technology Group Co., Ltd., supervisor of Third Pole (Beijing) Investment Development Co., Ltd., honorary lifetime director of Beijing Jingshi Law Firm, director of the Foreign-related Legal System Research Center of the Law School of Beijing Normal University, standing director of the China Energy Law Society, arbitrator of the China International Economic and Trade Arbitration Commission, and arbitrator of the China International Economic and Trade Arbitration Center. I have also served as an arbitrator for the Tianjin Arbitration Commission, Guangzhou Arbitration Commission, Hainan Arbitration Commission, Shenyang Arbitration Commission, member and arbitrator of the Pu'er Arbitration Commission, expert consultant for the Pingdingshan Municipal Procuratorate, arbitrator for the Cambodia National Commercial Arbitration Center, independent director of Kylin Hesheng Network Technology Co., Ltd., independent director of Wuhan Damo Database Co., Ltd., and independent director of China Everbright Bank Co., Ltd. I served as an independent director of the Company from February 2022 to February 2025.
