Independent Director's Annual Work Report for 2025
Dear shareholders and shareholder representatives:
In 2025, as an independent director of Guangdong TCL Smart Appliances Co., Ltd. (hereinafter referred to as "the Company") under the sixth board of directors, I have strictly maintained the independence and professional ethics of independent directors in accordance with the provisions of the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Guidelines for the Governance of Listed Companies, the Management Measures for Independent Directors of Listed Companies, and the requirements of the Articles of Association and the Independent Director System. I have faithfully and diligently fulfilled my duties, exercised the powers entrusted to me by the Company in a lawful, compliant, cautious, and responsible manner, actively attended relevant meetings, carefully reviewed various proposals, and effectively safeguarded the interests of the Company and all shareholders, especially minority shareholders. Below is my report on the performance of independent director duties for 2025:
I. Basic Information of the Independent Director
(1) Work Experience and Professional Background
I, Zhao Baoquan, male, born in 1989, of Chinese nationality, with no permanent residency abroad, graduated from Sun Yat-sen University with a Ph.D. in Engineering in December 2017. I previously served as a postdoctoral researcher at Nanyang Technological University in Singapore and am currently an associate professor at the School of Artificial Intelligence, Sun Yat-sen University. In January 2022, I was selected as a key young academic talent under the "Hundred Talents Program" at Sun Yat-sen University, mainly engaged in research in the field of artificial intelligence, including intelligent multimedia information processing and analysis, multimedia systems and applications, 3D point cloud processing and compression, and computer graphics. I have published over 20 academic papers in important international journals and conferences such as IEEE TCSVT, IEEE TIP, IEEE TMM, and ACM Multimedia, and have applied for/authorized 8 Chinese patents and PCT international patents. I have long served as a reviewer and technical committee member for more than ten journals and conferences and received the IEEE ICME 2020 Outstanding Reviewer Award. Since June 26, 2024, I have served as an independent director of the Company.
