Chapter 1 General Principles
To motivate the work enthusiasm of the company's directors and senior management, improve the compensation management for directors and senior management, and establish a scientific and effective incentive and restraint mechanism, this system is formulated in accordance with the "Company Law of the People's Republic of China," "Measures for the Administration of Independent Directors of Listed Companies," "Corporate Governance Standards for Listed Companies," and other relevant laws, regulations, and the provisions of the Articles of Association of Shenzhen Jieshun Technology Co., Ltd. (hereinafter referred to as "the Articles").
Article 1
The directors and senior management personnel applicable to this system include: the company's directors and senior management as stipulated in the Articles.
Article 2
The principles for the management of directors and senior management compensation are as follows:
- The principle of equal rights and responsibilities and performance-based compensation;
- The principle that compensation levels are consistent with the company's scale and performance, and aligned with external compensation levels;
- The principle that aligns with the company's long-term interests and sustainable development goals;
- The principle of balancing incentives and constraints, with equal rewards and penalties.
Article 3
Salary Total Determination Mechanism
The company conducts budget management for the total salary of directors and senior management. The total salary budget for directors and senior management is determined based on the previous year's total salary, combined with factors such as the company's operating performance, individual performance, and future development plans.
Chapter 2 Compensation Assessment and Management
Article 4
The company's board of directors' compensation and assessment committee is responsible for formulating assessment standards for directors and senior management and conducting assessments, as well as formulating and reviewing compensation policies and plans for directors and senior management. The shareholders' meeting is responsible for reviewing the compensation of directors, while the board of directors is responsible for reviewing the compensation of senior management.
