Announcement on the Failure to Meet the Unlocking Conditions for the Second Lock-up Period of the Company's 2024 Employee Stock Ownership Plan
Sofia Home Furnishing Co., Ltd. (hereinafter referred to as the "Company") held the 10th meeting of the 6th Board of Directors on June 26, 2026, where the "Proposal on the Failure to Meet the Unlocking Conditions for the Second Lock-up Period of the Company's 2024 Employee Stock Ownership Plan" was reviewed and approved. In accordance with the "Guiding Opinions on the Pilot Implementation of Employee Stock Ownership Plans by Listed Companies," the "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 1 — Standardized Operation of Main Board Listed Companies," and the "Management Measures for the Company's 2024 Employee Stock Ownership Plan (Revised Draft)," the second lock-up period for the Company's 2024 Employee Stock Ownership Plan (hereinafter referred to as the "Employee Stock Ownership Plan") will expire on June 28, 2026, and the unlocking conditions have not been met. The relevant details are announced as follows:
I. Decision-making Procedures and Approval Status of the Employee Stock Ownership Plan
- The Company held the 23rd meeting of the 5th Board of Directors and the 20th meeting of the 5th Board of Supervisors on March 1, 2024, and the 2024 Second Extraordinary General Meeting on March 18, 2024. These meetings approved the "Proposal on the <Sofia Home Furnishing Co., Ltd. 2024 Employee Stock Ownership Plan (Draft)> and its Summary" and the "Proposal on the <Management Measures for the 2024 Employee Stock Ownership Plan>," among others, agreeing to the implementation of the 2024 Employee Stock Ownership Plan.
