I. Project Overview
Rainbow Department Store Co., Ltd. (hereinafter referred to as the "Company") signed a lease agreement with Shenzhen Fuminhe Construction Investment Co., Ltd. (hereinafter referred to as "Fuminhe Construction") in 2018. The lease covers a portion of the area from the basement level 1 to the second floor of the commercial podium of Lanhui Garden (Phase I) in Longhua District, Shenzhen, Guangdong Province, for the establishment of a shopping center. The leased area for this project is approximately 71,000 square meters, which includes 9,700 square meters of property leased by Fuminhe Construction from Shenzhen Bao'an District Guanlan Supply and Marketing Cooperative (hereinafter referred to as the "Property Owner"). II. Project Progress
- After friendly negotiation, the Company signed a supplementary agreement with Fuminhe Construction on February 11, 2026, to terminate the lease relationship between Fuminhe Construction and the Property Owner for the 9,700 square meter property. Concurrently, the Company signed an agreement with the Property Owner to temporarily use this portion of the property until April 16, 2026, and pay the corresponding property usage fees. On April 17, 2026, the Company signed a "Property Lease Agreement" with the Property Owner, leasing this 9,700 square meter property for a term of 3 years.
