To all shareholders and shareholder representatives:
As an independent director of Beijing Foton Technology Co., Ltd. (hereinafter referred to as the "Company" or "Foton Technology"), I have strictly followed the requirements of the Company Law, the Securities Law, the Administrative Measures for Independent Directors of Listed Companies, and other relevant laws, regulations, normative documents, and the Articles of Association, and the Independent Director Work System. I have performed my duties as an independent director fairly, impartially, diligently, and conscientiously, actively attended relevant company meetings, carefully reviewed various proposals, provided professional and objective opinions and suggestions for the company's business development, fully exercised the independent role of an independent director, and protected the legitimate rights and interests of investors. The following is a report on my performance of duties as an independent director for the year 2025:
I. Basic Information of Independent Directors
(I) Work Experience, Professional Background, and Concurrent Positions of Independent Directors
I am Shi Wei, female, born in December 1955, with a postgraduate degree, a professor of economics, and a doctoral supervisor, enjoying the State Council's special government allowance. Since 1982, I have taught at Shanghai University of Finance and Economics and University of International Business and Economics. I have served as Dean of Academic Affairs, Director of Human Resources, and President of the Institute of Economics and Open Economy. I was also a Standing Director of the Professional Committee of Chinese Financial Talents, Vice President of the Beijing Women Professors Association, and Vice President of the China Vocational Education Association. Since November 2023, I have served as an independent director of this company. Ms. Shi Wei is among the first batch of outstanding discipline leaders in Beijing's universities and has been awarded titles such as Beijing March 8th Red-Banner Holder, Advanced Worker in the People's Bank of China System, and national-level teaching achievement awards. My main research areas include the operation and management of commercial banks, foreign monetary and financial theories, and the relationship between education and economics. My major works and professional papers include "Research on the Transmission Mechanism of Western Monetary Theory" and "Policy Factors and Monetary Factors in China's Economic Cycle Fluctuations." I drafted the main report of the key research project of the National Social Science Fund during the "Ninth Five-Year Plan" period, "Research on China's Financial Mechanism Transformation," and presided over several provincial and ministerial-level research projects, including major national social science fund projects. I am also a specially appointed expert by the National Development and Reform Commission, the Ministry of Education, and other ministries.
