Greenme Co., Ltd. (hereinafter referred to as the "Company") held its 2026 First Extraordinary Shareholders' Meeting on March 6, 2026, and approved the "Proposal on Amending the Articles of Association and Relevant Rules of Procedure." Given that the Company completed the cancellation procedures for 8.75045 million restricted shares on November 7, 2025, which were granted but not released due to the failure to meet the performance assessment targets for the third vesting period of the 2022 Restricted Stock Incentive Plan at the company level, with China Securities Depository and Clearing Corporation Limited Shenzhen Branch (hereinafter referred to as "CSDC Shenzhen Branch"), the Company's total share capital changed from 5,124,299,057 shares to 5,115,548,607 shares, and its registered capital changed from RMB 5,124,299,057 to RMB 5,115,548,607. Concurrently, given that the Company completed the cancellation procedures for 12,215,100 repurchased shares on January 20, 2026, with CSDC Shenzhen Branch, the Company's total share capital changed from 5,115,548,607 shares to 5,103,333,507 shares, and its registered capital changed from RMB 5,115,548,607 to RMB 5,103,333,507. Therefore, the Company decided to amend the relevant clauses in the "Articles of Association" regarding total share capital and registered capital and complete the industrial and commercial registration change.
