As an independent director of Jiangsu Yanghe Brewery Joint Stock Company (hereinafter referred to as the "Company"), in the course of my work in 2025, I have strictly adhered to the "Company Law," "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1 - Normative Operation of Main Board Listed Companies," and other laws and regulations, as well as the "Articles of Association." I have diligently performed my duties, acted with integrity, and fully leveraged my role as an independent director to safeguard the interests of the Company and all shareholders. Herein is my performance report for 2025:
I. Basic Information of Independent Directors
(I) Personal Work Experience, Professional Background, and Concurrent Positions My name is Lu Guoping. I hold a bachelor's degree, am a professor of accounting, a certified public accountant in China, and an outstanding educator in Jiangsu Province. I have served as a lecturer, associate professor, and head of the accounting department at the School of Engineering, Nanjing Agricultural University; professor and associate dean at the Ruihua College and Guofu Zhongshen College of Nanjing Audit University; and professor at Zhongshen College. I have also served as an independent director for listed companies such as Langbo Technology, Huaxin New Materials, Jianke Shares, and Baosheng Shares, and as a director of Langbo Technology. I am currently an independent director of the Company, the person in charge of the national first-class undergraduate course (online and blended online-offline) "Advanced Financial Accounting," an independent director of Shenjian Shares, an independent director of Suzhou Lianxun Instruments Co., Ltd., and a director of Jiangsu Kangyuan Group Co., Ltd.
(II) Statement on Independence Upon self-examination, during my tenure as an independent director of the Company, neither I nor my immediate family members or main social relations are employed by the Company or its affiliated enterprises. We do not directly or indirectly hold shares in the Company, nor do we directly or indirectly hold 5% or more of the Company's issued shares, nor are we employed by any of the Company's top five shareholder entities. We are not employed by any affiliated enterprises of the Company's controlling shareholder or actual controller, nor do we have any significant business dealings with the Company or its controlling shareholder, actual controller, or their affiliated enterprises. We have not provided financial, legal, consulting, or sponsorship services to the Company or its controlling shareholder, actual controller, or their affiliated enterprises. My independence meets the requirements of relevant laws and regulations, and I have submitted a self-assessment report on independence to the Company's board of directors.
II. Overview of Independent Director Performance in the Reporting Year
(I) Attendance at Board Meetings and Shareholders' Meetings In 2025, the Company held 10 board meetings, deliberating and approving 28 proposals. I actively participated in the discussions of all proposals and voted in favor of them. The Company held 4 shareholders' meetings, all of which I attended in person.
