Huatai United Securities Co., Ltd. (hereinafter referred to as "Huatai United Securities" or "this independent financial advisor") has been entrusted by Tianshui Huatians Technology Co., Ltd. (hereinafter referred to as "the listed company" or "Huatians Technology") to act as the independent financial advisor for the listed company's issuance of shares to acquire 100% equity in Huayi Microelectronics Co., Ltd. (hereinafter referred to as "the target company" or "Huayi Microelectronics") from 27 counterparties, and to raise supporting funds (hereinafter referred to as "this transaction"). This independent financial advisor's verification opinion is based on the relevant regulations and requirements of the China Securities Regulatory Commission (hereinafter referred to as "CSRC") and the Shenzhen Stock Exchange (hereinafter referred to as "SZSE"), and is issued after due diligence and careful review of the relevant application and disclosure documents of the listed company, for the reference of all parties involved.
