Legal Opinion on the 2025 Annual General Meeting of Shenzhen Shiyida Technology Co., Ltd.

Shenzhen Shiyida Technology Co., Ltd. (hereinafter referred to as the "Company") convened its 2025 Annual General Meeting (hereinafter referred to as the "Meeting") on May 14, 2026 (Thursday). Beijing DeHeng (Shenzhen) Law Offices (hereinafter referred to as "DeHeng") was appointed by the Company to send lawyers Tang Yongsheng and Li Xinyue (hereinafter referred to as "DeHeng Lawyers") to witness this Meeting. In accordance with the Securities Law of the People's Republic of China (hereinafter referred to as the "Securities Law"), the Company Law of the People's Republic of China (hereinafter referred to as the "Company Law"), the Rules of the General Meeting of Listed Companies (hereinafter referred to as the "Shareholder Meeting Rules"), and the Articles of Association of Shenzhen Shiyida Technology Co., Ltd. (hereinafter referred to as the "Articles of Association"), DeHeng Lawyers have witnessed the convocation, procedures, qualifications of attendees, and voting procedures of this Meeting and hereby issue their legal opinion.
To issue this legal opinion, DeHeng Lawyers attended the Meeting and reviewed the following documents provided by the Company, including but not limited to:
(I) The Articles of Association;
(II) The Resolution of the Thirteenth Meeting of the Seventh Board of Directors of Shenzhen Shiyida Technology Co., Ltd.;
(III) The "Notice of the 2025 Annual General Meeting of Shenzhen Shiyida Technology Co., Ltd." published by the Company on April 21, 2026, on the CNINFO website (http://www.cninfo.com.cn) and in the Securities Times (hereinafter referred to as the "Notice of the General Meeting");
(IV) Registration records and supporting documents for shareholders attending the Meeting in person;
(V) Supporting documents for the voting results of shareholders at the Meeting;
(VI) Other meeting documents for this Meeting.
DeHeng Lawyers have been assured that the Company has provided all materials that DeHeng Lawyers deem necessary for issuing this legal opinion, and that the original materials, duplicates, and copies thereof, as well as oral statements, are true, accurate, and complete, and that duplicates and copies are consistent with the original materials.
In this legal opinion, DeHeng Lawyers, based on the "Shareholder Meeting Rules" and the Company's request, will only opine on whether the convocation and procedures of the Company's Meeting comply with the laws, administrative regulations, the "Articles of Association," and the "Shareholder Meeting Rules," and whether the qualifications of the attendees and the convener are legal and valid, and whether the voting procedures and results are legal and valid. This opinion does not cover the content of the proposals discussed at the Meeting or the truthfulness and accuracy of the facts or data stated in these proposals.
DeHeng and DeHeng Lawyers, in accordance with the "Securities Law," the "Administrative Measures for the Practice of Securities Legal Business by Law Firms," the "Practice Rules for Securities Legal Business of Law Firms (Trial)," and facts that have occurred or existed prior to the issuance of this legal opinion, have strictly performed their statutory duties, adhered to the principles of diligence and good faith, conducted thorough verification, and ensured that the facts determined in this legal opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or material omissions, and are willing to bear corresponding legal responsibilities.
This legal opinion is for the sole purpose of witnessing the legality of the matters related to the Company's Meeting and shall not be used for any other purpose.
In accordance with the requirements of relevant laws and regulations, and adhering to the generally accepted business standards, ethical norms, and the spirit of diligence and good faith of the legal profession, DeHeng Lawyers hereby issue the following legal opinion on the legal issues related to the convocation and procedures of the Company's Meeting:
