Chapter 1 General Provisions
Article 1 For the purpose of safeguarding the legitimate rights and interests of the company, shareholders, employees, and creditors, and regulating the organization and conduct of the company, these Articles of Association are formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Code of Corporate Governance for Listed Companies," the "Guidelines for Articles of Association of Listed Companies," and other relevant regulations.
Article 2 The Company is a joint-stock limited company established in accordance with the "Company Law" and other relevant regulations (hereinafter referred to as the "Company").
The Company was established by way of promotion upon the approval of the State Economic and Trade Commission's document Guo Jing Mao Qi [2001] No. 898. It was registered with the Jiangsu Administration for Industry and Commerce and obtained an enterprise legal person business license with the unified social credit code 91320000730726583G.
Article 3 On February 22, 2005, the Company was approved by the China Securities Regulatory Commission to issue 38.5 million ordinary shares to the public for the first time. It was listed on the Shenzhen Stock Exchange on March 25, 2005.
Article 4 The registered Chinese name of the Company is: Nanjing Port Co., Ltd. The English name of the Company is: Nanjing Port Co., Ltd.
