Board of Directors' Special Opinion on the Independence of Independent Directors of Nanjing Port Co., Ltd.
In accordance with the "Administrative Measures for Independent Directors of Listed Companies" issued by the China Securities Regulatory Commission, the "Shenzhen Stock Exchange Stock Listing Rules," and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guide No. 1 - Normative Operation of Main Board Listed Companies," the Board of Directors of Nanjing Port Co., Ltd. (hereinafter referred to as the "Company") hereby assesses the independence of its current independent directors, Ma Yeqing, Ge Jun, and Yang Xue, and issues the following special opinion:
After reviewing the resumes and signed self-assessment documents of independent directors Ma Yeqing, Ge Jun, and Yang Xue, it is confirmed that these individuals do not hold any positions in the Company other than independent director, nor do they hold any positions in the Company's major shareholder entities. They have no relationship of interest with the Company or its major shareholders, nor any other relationship that could hinder their independent and objective judgment, and there are no circumstances affecting the independence of the independent directors. Therefore, the Company's independent directors meet the relevant requirements for the independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies" and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guide No. 1 - Normative Operation of Main Board Listed Companies."
