Announcement on Amendments to the Articles of Association and Related Policies The Company and all members of the Board of Directors guarantee that the information disclosed is true, accurate, and complete, and that there are no false records, misleading statements, or significant omissions. Chengzhi Co., Ltd. (hereinafter referred to as the "Company") held the 15th meeting of the 8th Board of Directors and the 15th meeting of the 8th Supervisory Board on December 12, 2025, and approved the "Proposal on Amending the Articles of Association and Related Policies." This proposal needs to be submitted to the Company's First Extraordinary General Meeting of Shareholders in 2025 for review. The relevant amendments are hereby announced as follows: I. Amendments to the Articles of Association In accordance with the "Company Law of the People's Republic of China" implemented on July 1, 2024, the "Arrangements for the Transition Period of the Implementation of Supporting Rules and Regulations for the New Company Law" issued by the China Securities Regulatory Commission, and the "Guidelines for the Articles of Association of Listed Companies," as well as the Company's governance structure and actual operational needs, the Company proposes to amend and improve certain clauses of the current "Articles of Association of Chengzhi Co., Ltd." (hereinafter referred to as the "Articles of Association"). First, the Company proposes to abolish the Supervisory Board. The duties of the Supervisory Board will be exercised by the Board of Directors' Audit Committee. Provisions in the Articles of Association related to the Supervisory Board and Supervisors will no longer apply, and descriptions of "Supervisory Board" and "Supervisor" will be deleted. Second, the term "Shareholders' Meeting" in the Articles of Association will be changed to "Shareholders' Assembly." Due to the large number of articles involved in the aforementioned amendments, if the relevant clauses in the original Articles of Association only involve the aforementioned amendments and do not involve other revisions, they will not be listed one by one. Changes in clause numbering, clause numbering involved in citations, and punctuation adjustments, as they do not involve substantive changes in rights and obligations, will not be listed one by one. The relevant amendments will be subject to the final approval by the Administration for Industry and Commerce. The Articles of Association are proposed to be amended in 147 articles, with 8 new articles and 16 deleted articles. Amendments to Related Policies of the Articles of Association The Company proposes to simultaneously amend the following policies to be consistent with the Articles of Association.
