(hereinafter referred to as the "Container Terminal Company") for the period from April 1, 2025, to February 28, 2026.
In our opinion, the accompanying financial statements have been prepared in all material respects in accordance with the basis of preparation described in Note II, and fairly reflect the consolidated operating results and changes in consolidated owners' equity of the Container Terminal Company for the period from April 1, 2025, to February 28, 2026.
II. Basis for Audit Opinion
We conducted our audit in accordance with the Auditing Standards for Certified Public Accountants of China. In accordance with the Code of Ethics for Certified Public Accountants of China and the Independence Standards for Certified Public Accountants of China, we are independent of the Container Terminal Company and have fulfilled our other ethical responsibilities. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.
III. Emphasis of Matter — Basis of Preparation
We draw the attention of the users of the financial statements to the explanation of the basis of preparation in Note II of the financial statements. The Container Terminal Company prepared these financial statements for the purpose of providing information for Xiamen Port Development Co., Ltd.'s issuance of shares and payment of cash to purchase assets, and to clarify the profit and loss of the Container Terminal Company during the transition period. Therefore, the financial statements may not be suitable for other purposes. This paragraph does not affect the audit opinion already expressed.
IV. Other Matters — Restrictions on Recipients and Use of the Audit Report
Our report is intended solely for the purpose of Xiamen Port Development Co., Ltd.'s issuance of shares and payment of cash to purchase assets, and should not be sent to or used by any other parties other than the users of the transition period profit and loss information.

In preparing the financial statements, Management is responsible for assessing the Container Terminal Company's ability to continue as a going concern, disclosing matters related to going concern (if applicable), and using the going concern assumption, unless Management intends to liquidate the Container Terminal Company, terminate operations, or has no other realistic alternative.
Those charged with governance are responsible for overseeing the Container Terminal Company's financial reporting process.
VI. Certified Public Accountant's Responsibilities for the Audit of the Financial Statements
Our objective is to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an audit report that includes our audit opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with auditing standards will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
