1. Overview of the Guarantee Situation
Beijing Juran Zhijia Home Chain Co., Ltd. (hereinafter referred to as "Home Chain") is a wholly-owned subsidiary of Juran Zhijia New Retail Group Co., Ltd. (hereinafter referred to as "the Company" or "this Company"). Beijing Juran Zhijia Intelligent Technology Co., Ltd. (hereinafter referred to as "Juran Intelligent") is a wholly-owned subsidiary of Home Chain. Beijing Juran Zhihua Aipu Technology Co., Ltd. (hereinafter referred to as "Zhihua Aipu Technology") is a wholly-owned subsidiary of Juran Intelligent. Recently, Zhihua Aipu Technology, due to business development needs, signed a "Working Capital Loan Contract" with the Beijing Dongcheng Branch of Bank of China Co., Ltd. (hereinafter referred to as "Bank of China Beijing Dongcheng Branch") to apply for a loan of RMB 10 million (hereinafter referred to as "this loan"), with a loan term of 12 months. It also signed a "Maximum Comprehensive Credit Contract" with the Beijing Branch of Jiangsu Bank Co., Ltd. (hereinafter referred to as "Jiangsu Bank Beijing Branch") to apply for a credit limit of RMB 10 million (hereinafter referred to as "this credit"), with a credit term of 3 years. Juran Intelligent provides joint liability guarantees for this loan and this credit (hereinafter referred to as "this guarantee"). This guarantee does not require submission for approval by the Company's board of directors or shareholders' meeting.
