Zhaojin International Gold Co., Ltd. (hereinafter referred to as "the Company") held the seventh meeting of the eleventh board of directors on April 8, 2026, where it reviewed and approved the proposal on the estimated guarantee amount for subsidiaries in 2026. This proposal has not yet been submitted for shareholder review.
Based on the actual operational development and financing needs of the Company and its subsidiaries, the Company intends to adjust the aforementioned estimated guarantee amount. This adjustment adds two subsidiaries as guarantee recipients on the basis of the original guarantee provided to Fiji Vatukoula Gold Mine Ltd., while the total estimated guarantee amount remains unchanged at no more than RMB 500 million. This estimated total guarantee amount accounts for 71.55% of the Company's latest audited net assets. Investors are advised to pay close attention and be aware of investment risks.
On April 15, 2026, the Company held the eighth meeting of the eleventh board of directors, where it reviewed and approved the proposal on adjusting the estimated guarantee amount for subsidiaries in 2026. The proposal approved at the seventh meeting of the eleventh board of directors regarding the estimated guarantee amount for subsidiaries in 2026 will no longer be submitted for shareholder review. The proposal on adjusting the estimated guarantee amount for subsidiaries in 2026 will be submitted for review at the 2025 annual shareholder meeting.
