Chengdu Superpure Applied Materials Co., Ltd. (hereinafter referred to as "Superpure Applied Materials," "the Issuer," or "the Company") is conducting its initial public offering (IPO) and listing on the ChiNext market in accordance with relevant laws, regulations, and regulatory rules, including the "Administrative Measures for Securities Issuance and Underwriting" issued by the China Securities Regulatory Commission (CSRC), the "Administrative Measures for Registration of Initial Public Offering of Shares," the "Implementation Rules for Initial Public Offering and Underwriting Business of the Shenzhen Stock Exchange (2026 Revision)," and other applicable regulatory guidelines.
Huatai United Securities Co., Ltd. (hereinafter referred to as "Huatai United Securities," "the Sponsor (Lead Underwriter)," or "the Lead Underwriter") serves as the sponsor and lead underwriter for this offering.
The preliminary price inquiry and offline offering for this issuance will be conducted through the Shenzhen Stock Exchange (SZSE) offline issuance electronic platform and the registration and settlement platform of China Securities Depository and Clearing Corporation (CSDC) Shenzhen Branch. Investors are advised to read this announcement carefully. For detailed information regarding the preliminary price inquiry and offline offering, please refer to the "Implementation Rules for Offline Issuance" and other relevant regulations published on the SZSE website (www.szse.cn).
Investors are requested to pay close attention to the issuance method, issuance process, clawback mechanism, online and offline subscription and payment, and the handling of abandoned shares. Details are as follows:
- Issuance Method: This offering combines targeted placement to strategic investors ("Strategic Placement"), inquiry-based placement to qualified offline investors ("Offline Offering"), and pricing-based issuance to public investors holding non-restricted A-shares and non-restricted depository receipts in the Shenzhen market ("Online Offering").
The Strategic Placement, preliminary price inquiry, and online/offline offerings are organized and implemented by the Lead Underwriter. The preliminary price inquiry and offline offering are conducted via the offline issuance electronic platform (https://eipo.szse.cn) and the CSDC Shenzhen Branch platform; the online offering is conducted via the SZSE trading system.
The Strategic Placement consists of a special asset management plan established by the Issuer's senior management and core employees, follow-on investment (if any) by the Sponsor's related subsidiaries, and other strategic investors. If the final issue price exceeds the lower of the median and weighted average of offline investor quotes (after excluding the highest quotes) and the median and weighted average of quotes from public funds, social security funds, pension funds, annuity funds, and qualified insurance funds, the Sponsor's related subsidiaries will participate in the Strategic Placement in accordance with relevant regulations. The Issuer and the Lead Underwriter will disclose the total number of shares placed to strategic investors, the subscription quantity, the proportion of the total offering, and the lock-up periods in the "Announcement of Initial Public Offering of Shares and Listing on the ChiNext Market of Chengdu Superpure Applied Materials Co., Ltd." (hereinafter "Issuance Announcement").

The Issuer and the Lead Underwriter will determine the issue price directly through the offline preliminary price inquiry; no cumulative bidding will be conducted offline.

Offline Offering Targets: The offline offering is open to professional institutional investors, including securities companies, fund management companies, futures companies, trust companies, wealth management companies, insurance companies, financial companies, qualified foreign investors, and private fund managers meeting specific conditions, all registered with the Asset Management Association of China.
