Resolutions of the Seventh Meeting of the Fifth Board of Directors
The seventh meeting of the fifth Board of Directors of Green Bio-Tech Co., Ltd. (hereinafter referred to as the "Company") was held on September 9, 2025, at 10:00 AM in the Company's conference room, through a combination of on-site and teleconference methods.
The Company notified all directors and senior management to attend the meeting three days in advance.
A total of 13 directors were expected to attend (8 non-independent directors, 5 independent directors). All 13 directors (8 non-independent directors, 5 independent directors) attended the meeting through a combination of on-site and teleconference methods. The meeting was presided over by Chairman Mr. Lu Wencheng.
The meeting complied with the relevant provisions of the "Company Law" and the "Articles of Association." The meeting passed the following resolutions through a combination of on-site and teleconference voting:
- Approved the "Proposal on the Plan for the Company's Initial Public Offering of Shares and Listing on the ChiNext Market."
The sub-item voting results for this proposal are as follows:
1.1 Type of Shares to be Issued
Type of shares to be issued: RMB ordinary shares (A shares), with a par value of RMB 1.00 per share.
Voting result: 13 votes in favor; 0 votes against; 0 abstentions.
1.2 Number of Shares to be Issued
The number of shares to be issued in this application shall not exceed 33.333334 million shares, and the number of shares issued shall not be less than 25% of the Company's total share capital after issuance. The final number of newly issued shares offered to the public will be determined by the Company in consultation with the lead underwriter, in accordance with the latest policies of the China Securities Regulatory Commission at the time of the Company's issuance and listing.
1.3 Issuing Targets
Eligible inquiry targets and investors who have opened securities accounts on the Shenzhen Stock Exchange and have activated their ChiNext market trading accounts, including qualified natural persons and legal persons (excluding those prohibited by the laws, administrative regulations, and other normative documents of the People's Republic of China and other regulatory requirements that the Company must comply with), or other targets stipulated by regulatory authorities.
