Announcement on the Reappointment of Accounting Firm
Special Reminder: Tongyu New Materials (Guangdong) Co., Ltd. (hereinafter referred to as "the Company") has complied with the regulations set forth by the Ministry of Finance, the State-owned Assets Supervision and Administration Commission of the State Council, and the China Securities Regulatory Commission regarding the selection of accounting firms for state-owned enterprises and listed companies.
On May 25, 2026, the Company held the ninth meeting of the second board of directors, where it reviewed and approved the proposal on the reappointment of the auditing institution for the year 2026, intending to reappoint Rongcheng Accounting Firm (Special General Partnership) (hereinafter referred to as "Rongcheng Accounting Firm") as the Company's auditing institution for the fiscal year 2026, with a term of one year. This proposal is subject to approval by the Company's shareholders' meeting, and the relevant matters are announced as follows:
I. Basic Information of the Proposed Reappointed Accounting Firm
(1) Firm Information
- Basic Information Rongcheng Accounting Firm (Special General Partnership) was renamed from the former Huapu Tianjian Accounting Firm (Special General Partnership), originally established in August 1988, and restructured into a special general partnership on December 10, 2013. It is one of the earliest accounting firms authorized to engage in securities services in China and has long been involved in securities services. The registered address is 10th Floor, Building 1, No. 22 Fuchengmen Outer Street, Xicheng District, Beijing, with Chief Partner Liu Wei. As of December 31, 2025, Rongcheng Accounting Firm has a total of 233 partners and 1,507 registered accountants, of which 856 have signed audit reports for securities services. The total revenue audited by Rongcheng for the year 2024 was 2,510,258,000 yuan, including 2,348,629,400 yuan from audit services for the Company and 1,237,645,800 yuan from securities and futures services. Rongcheng Accounting Firm undertook the annual report audit services for 518 listed companies in 2024, with total audit fees amounting to 620,475,200 yuan, with clients mainly concentrated in various industries such as manufacturing, information transmission, software and information technology services, wholesale and retail, scientific research and technical services, construction, water conservancy, environmental and public facility management, among others. In 2024, the number of audit clients in the same industry as the Company was 383.
