China Merchants Securities Co., Ltd. (hereinafter referred to as "China Merchants Securities" or "Sponsor") has been engaged by Shenzhen Qiangda Circuits Co., Ltd. (hereinafter referred to as the "Issuer," "Company," or "Qiangda Circuits") to act as the sponsor for the Issuer's issuance of convertible corporate bonds to unspecified targets (hereinafter referred to as "this Issuance").
The Sponsor and its relevant sponsor representatives have acted in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for the Registration of Securities Issuance by Listed Companies, the Rules Governing the Listing of Stocks on the Chi-Next Market of the Shenzhen Stock Exchange, the Rules for the Review of Securities Issuance and Listing of Listed Companies of the Shenzhen Stock Exchange, the Implementation Rules for Securities Issuance and Underwriting Business of Listed Companies of the Shenzhen Stock Exchange, the Administrative Measures for Securities Issuance and Listing Sponsorship Business, and other relevant laws, administrative regulations, and provisions of the China Securities Regulatory Commission and the Shenzhen Stock Exchange.
