(1) Work Experience, Professional Background, and Concurrent Positions
I, Yao Ming'an, male, Chinese nationality, without permanent residency abroad, born in May 1964, hold a master's degree and am a professor of accounting. From July 1990 to June 2024, I taught at Shantou University. I have served as a certified public accountant at Shantou Shanda Accounting Firm, Shenzhen Tongren Accounting Firm, and as a supervisor at various companies. Since December 2021, I have been an independent director at Shantou Ultrasonic Instrument Research Institute Co., Ltd. (hereinafter referred to as "the Company" or "Ultra Research"). I currently serve as an independent director at Ultra Research and Xinghui Interactive Entertainment Co., Ltd.
(2) Independence Status
During the reporting period, I did not hold any position other than independent director at Ultra Research and have no direct or indirect interests with the Company or its major shareholders that could affect my independent judgment. I have conducted a self-assessment of my independence and confirmed compliance with regulatory requirements for independent directors. The board has evaluated my independence and found no issues that would affect my ability to make independent judgments.
