Guangdong Taili Technology Group Co., Ltd. (hereinafter referred to as "the Company" or "Taili Technology") held the 19th meeting of the second board of directors on March 30, 2026, where it reviewed and approved the proposal on changes to the use of part of the raised funds, implementation locations, and entities, as well as the addition of new fundraising investment projects. The Company and all members of the board guarantee that the content of the information disclosure is true, accurate, and complete, without false records, misleading statements, or major omissions.
To improve the efficiency of the use of raised funds and based on the Company's future operational development plan, the Company intends to adjust the fundraising investment projects from its initial public offering (hereinafter referred to as "fundraising projects"). The main adjustments are as follows:
- Reduce the fundraising for the "Wuhan Production and Logistics Center Construction Project" by 120 million RMB;
- Add a new fundraising project, "Nanovalleys Industrial Park R&D and Production Construction Project," with a total planned investment of 301.36 million RMB, intending to use 193.81 million RMB from raised funds, with any shortfall to be covered by the Company through its own or raised funds;
- Change the implementation location and entity of the fundraising project "R&D Center Construction Project" and merge this project into the newly added fundraising project "Nanovalleys Industrial Park R&D and Production Construction Project" for coordinated construction.
The above matters do not constitute related party transactions, nor do they constitute significant asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies." Guolian Minsheng Securities Co., Ltd. (hereinafter referred to as "the Sponsor") has issued a non-objection verification opinion on this matter, which still needs to be submitted to the Company's shareholders' meeting for deliberation. The specific situation is announced as follows:
I. Basic Situation of the Raised Funds According to the approval document from the China Securities Regulatory Commission regarding the initial public offering of Guangdong Taili Technology Group Co., Ltd. (Zheng Jian Xu Ke [2025] No. 308), the Company was authorized to issue 27,070,000 shares of ordinary RMB common stock (A shares) to the public at a price of 17.05 RMB per share, with a total fundraising amount of 461.5435 million RMB. After deducting issuance costs, the net amount raised is 369.5207 million RMB. The accounting firm Zhitong has conducted an audit of the raised funds on May 14, 2025, and issued a "Verification Report" (Zhitong Yan Zi [2025] No. 441C000121). The Company has managed the raised funds in a dedicated account in accordance with relevant regulations and signed a tripartite supervision agreement with the bank holding the raised funds.
