2025 Annual Report of Independent Director (Liu Si)
During the reporting period, I, Liu Si, served as the independent director of Anhui Jialiqi Advanced Composite Materials Technology Co., Ltd. (hereinafter referred to as "the Company"). I strictly adhered to relevant laws and regulations, including the Company Law, Securities Law, Guidelines for the Governance of Listed Companies, Management Measures for Independent Directors of Listed Companies, and the Shenzhen Stock Exchange Self-Regulatory Guidelines No. 2 for the standardized operation of GEM-listed companies, as well as the Company’s Articles of Association and the Independent Director Work System. I diligently fulfilled my responsibilities as an independent director, actively attended relevant meetings, carefully reviewed meeting proposals and related materials, fully exercised the role of an independent director, and worked hard to safeguard the overall interests of the Company and the legitimate rights and interests of all shareholders. Below is my report on the performance of my duties as an independent director during my term in 2025:
I. Basic Information of the Independent Director
(1) Personal Background, Professional Experience, and Concurrent Positions
Liu Si, born in 1984, Chinese nationality, without permanent residency abroad, graduated from China University of Political Science and Law with a doctorate in civil and commercial law. From September 2011 to September 2012, I worked as an editor at Higher Education Press; from October 2012 to April 2017, I served as a legal manager at China Education Publishing Media Co., Ltd.; since May 2017, I have been a lawyer at Guohao Law Firm (Beijing); and since May 2021, I have been an independent director of the Company.
(2) Independence Statement
During my term, I have not held any position in the Company other than that of independent director and member of various specialized committees, nor have I held any position in the major shareholder units. There are no interests or other relationships that could hinder my independent and objective judgment, and I meet the independence requirements as stipulated in the Management Measures for Independent Directors of Listed Companies and the Company’s Articles of Association.
II. Performance of Duties During 2025
(1) Attendance at Board and Shareholder Meetings
During the reporting period, I actively participated in the Company’s board and shareholder meetings, diligently ensuring the management's implementation of board resolutions, maintaining sufficient communication with the management team, carefully reviewing various proposals, and participating actively in discussions, exercising my voting rights with caution. The convening and holding of board meetings complied with legal procedures, and significant operational decisions and other major matters followed the necessary approval processes, being legal and effective. I voted in favor of all proposals reviewed by the board during my term and did not raise any objections to the board's proposals or other Company matters.
