Beijing JunHe LLP's Legal Opinion on Torrens Precision Manufacturing (Jiangsu) Co., Ltd.'s Initial Public Offering and Listing on the Shenzhen Stock Exchange's ChiNext Board

Beijing JunHe LLP (hereinafter referred to as "the Firm") has been retained by Torrens Precision Manufacturing (Jiangsu) Co., Ltd. (hereinafter referred to as "the Issuer" or "the Company") to serve as the special legal counsel for the Issuer's application for an initial public offering of shares (hereinafter referred to as "the Offering") and listing on the ChiNext board of the Shenzhen Stock Exchange (hereinafter referred to as "the SZSE") (hereinafter collectively referred to as "the Offering and Listing"). Based on the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for the Registration of Initial Public Offerings of Shares" (hereinafter referred to as the "Measures"), the "Listing Rules of the Shenzhen Stock Exchange for the ChiNext Market" (hereinafter referred to as the "Listing Rules"), the "Shenzhen Stock Exchange Stock Issuance and Listing Review Rules (2024 Revision)" (Shenzhen Listing [2024] No. 341) (hereinafter referred to as the "Review Rules"), the "Administrative Measures for Law Firms Engaging in Securities Legal Business," the "Rules of Practice for Law Firms Engaging in Securities Legal Business (Trial)," and the "Compilation and Reporting Rules for Information Disclosure by Public Offering Securities Companies No. 12 - Legal Opinions and Lawyers' Reports on Public Offerings of Securities" (hereinafter referred to as "Compilation and Reporting Rules No. 12"), and in accordance with relevant laws, regulations, rules, and normative documents, and adhering to the business standards, ethical norms, and diligence and conscientiousness universally recognized in the Chinese legal profession, the Firm hereby issues this "Beijing JunHe LLP's Legal Opinion on Torrens Precision Manufacturing (Jiangsu) Co., Ltd.'s Initial Public Offering and Listing on the Shenzhen Stock Exchange's ChiNext Board" (hereinafter referred to as "this Legal Opinion").
In order to prepare this Legal Opinion, the Firm's lawyers have reviewed the documents and copies provided by the Issuer and based on the following representations made by the Issuer: The Issuer has provided all original written materials, duplicate materials, copies, or oral statements that are necessary, true, and complete for the preparation of this Legal Opinion, without any omission or concealment; the duplicate materials or copies provided are identical to the original materials or originals; the validity of each document has not been revoked by relevant government authorities during its validity period, and all documents are held by their respective lawful owners as of the date of this Legal Opinion; the documents provided are authentic in their signatures and seals; and the documents and facts presented are true, accurate, and complete. All parties who have signed or will sign the documents are legally existing and have obtained proper authorization to sign such documents. For facts that are crucial to the preparation of this Legal Opinion but cannot be independently verified by evidence, the Firm has conducted interviews with relevant parties, inquired about public information, and relied on documentary evidence issued by relevant government departments or other relevant institutions, as well as statements, confirmations, and commitments from the Issuer and related parties to prepare this Legal Opinion.
This Legal Opinion only expresses opinions on legal issues related to the Offering and Listing and does not express opinions on accounting, auditing, asset valuation, investment decisions, market capitalization estimates, or other matters.
