Chapter 1 General Principles
Article 1 To strengthen the internal control of Yunhan Core City (Shanghai) Internet and Technology Co., Ltd. (hereinafter referred to as the "Company"), promote the Company's standardized operation and healthy development, protect the legitimate rights and interests of investors, in accordance with the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), and other laws and regulations, the "Main Board Listing Rules of the Shenzhen Stock Exchange" (hereinafter referred to as the "Listing Rules"), the "Shenzhen Stock Exchange Main Board Listed Company Self-Regulatory Management Guidelines No. 2 - Standardized Operation of Main Board Listed Companies" (hereinafter referred to as the "Standardized Operation"), the "Basic Norms for Enterprise Internal Control," and the "Articles of Association of Yunhan Core City (Shanghai) Internet and Technology Co., Ltd." (hereinafter referred to as the "Articles of Association"), and in conjunction with the Company's actual situation, this system is formulated.
Article 2 Internal control as referred to in this system is the process implemented by the Company's board of directors, audit committee, management, and all employees, aimed at achieving control objectives.
Article 3 The objectives of internal control are to reasonably ensure the legality and compliance of enterprise business management, the safety of assets, and the truthfulness and completeness of financial reports and related information, prevent risks, improve operational efficiency and effectiveness, and promote the realization of the Company's development strategies.
Article 4 The Company's board of directors shall be responsible for the formulation and effective implementation of the Company's internal control system.
Chapter 2 Basic Content of the Internal Control System
Article 5 The internal control system of the Company includes the following elements: (1) Internal environment. The internal environment is the foundation for the enterprise to implement internal control, generally including governance structure, institutional setup and division of responsibilities, internal audit, human resource policies, and corporate culture. (2) Risk assessment. Risk assessment is the process by which the enterprise timely identifies and systematically analyzes risks related to the achievement of internal control objectives in its business activities, and reasonably determines risk response strategies. (3) Control activities. Control activities are measures taken by the enterprise based on risk assessment results to control risks within an acceptable range. (4) Information and communication. Information and communication refer to the timely and accurate collection and transmission of information related to internal control by the enterprise, ensuring effective communication of information within the enterprise and between the enterprise and external parties. (5) Internal supervision. Internal supervision is the process by which the enterprise supervises and inspects the establishment and implementation of internal control, evaluates the effectiveness of internal control, and identifies internal control deficiencies, which should be improved in a timely manner.
Article 6 By continuously improving the Company's internal control system, ensure the legal operation and scientific decision-making of the shareholders' meeting, board of directors, and their special committees, establish effective incentive and restraint mechanisms, foster risk prevention awareness, cultivate a good corporate spirit and internal control culture, and create an environment where all employees fully understand and perform their duties.
