I. Overview of Joint Investment with Professional Investment Institutions
Recently, Changyou Technology Group Co., Ltd. (hereinafter referred to as the "Company") signed the "Partnership Agreement of Changzhou Zhirong Changyou Equity Investment Partnership (Limited Partnership)" (hereinafter referred to as the "Partnership Agreement" or "This Agreement") as a limited partner with Zhirong Private Fund Management (Nanjing) Co., Ltd. as the general partner. The Company plans to invest RMB 20 million of its own funds to establish Changzhou Zhirong Changyou Equity Investment Partnership (Limited Partnership) (hereinafter referred to as the "Partnership" or "Fund"), with capital contributions made in cash. The total committed capital of all partners is RMB 20.10 million, of which the Company plans to contribute RMB 20 million of its own funds, representing a contribution ratio of 99.5025%. The fund manager is Zhirong Private Fund Management (Nanjing) Co., Ltd. The Fund has recently completed its industrial and commercial registration and is awaiting filing with the Asset Management Association of China.
