(hereinafter referred to as "the Company" or "Top Cloud Agriculture") announces the implementation of the 2025 annual profit distribution plan, which was approved by the shareholders' meeting held on May 19, 2026. The details of the profit distribution are as follows:
1. Approval of the Profit Distribution Plan by the Shareholders' Meeting
- The profit distribution plan is as follows: based on the Company's total share capital of 85,280,000 shares, a cash dividend of RMB 2.3500 (including tax) will be distributed for every 10 shares, totaling RMB 20,040,800. This profit distribution does not include bonus shares or capital reserve fund transfers to increase share capital. If there is a change in the total share capital before the implementation of this plan, the total cash dividend will remain fixed, and adjustments will be made based on the total share capital on the record date.
- During the period from the disclosure of this profit distribution plan until its implementation, the total share capital of the Company has not changed, and the total distribution amount remains unchanged.
- The implemented profit distribution plan is consistent with the profit distribution plan approved by the shareholders' meeting for 2025 and its adjustment principles.
- The time elapsed since the approval of the profit distribution plan by the shareholders' meeting for 2025 is less than two months.
