Grandall Law Firm (Shanghai) Legal Opinion on the First Extraordinary General Meeting of Shareholders of Hubei New Materials Technology (Shanghai) Co., Ltd. in 2026

Grandall Law Firm (Shanghai) (the "Firm") was entrusted by Hubei New Materials Technology (Shanghai) Co., Ltd. (the "Company") to appoint lawyers from the Firm to attend the Company's First Extraordinary General Meeting of Shareholders in 2026 (the "Shareholders' Meeting") held on February 27, 2026. Based on the "Securities Law of the People's Republic of China" (the "Securities Law"), the "Company Law of the People's Republic of China" (the "Company Law"), the "Rules for Shareholders' Meetings of Listed Companies" issued by the China Securities Regulatory Commission (the "Shareholders' Meeting Rules"), and other laws, administrative regulations, normative documents, and the "Articles of Association of Hubei New Materials Technology (Shanghai) Co., Ltd." (the "Articles of Association"), the Firm hereby issues this legal opinion on matters related to the Shareholders' Meeting.
To issue this legal opinion, the Firm's lawyers have reviewed the relevant documents provided by the Company concerning the Shareholders' Meeting. In the process of reviewing the documents, the Company has guaranteed and undertaken to the Firm that the documents provided by the Company are true, accurate, and complete, that the copies of relevant materials are consistent with the originals, and that the Company has disclosed to the Firm all facts and documents that are sufficient to affect the issuance of this legal opinion, without any concealment or omission.
In this legal opinion, the Firm's lawyers will only express opinions on whether the convening procedures and convener qualifications of the Shareholders' Meeting, the convening procedures, the qualifications of meeting attendees, and the voting procedures of the meeting comply with the provisions of the "Company Law," "Shareholders' Meeting Rules," and other laws, administrative regulations, normative documents, and the "Articles of Association." The Firm will not express opinions on the authenticity and accuracy of the content of the proposals of the Shareholders' Meeting or the facts or data stated in such proposals.
This legal opinion is for the purpose of witnessing the Shareholders' Meeting only and shall not be used for any other purpose. The Firm agrees that the Company may use this legal opinion as a legal document for the Shareholders' Meeting and announce it along with other documents.
