I. Situation of Issuance of Shares to Specific Objects
(I) The plan for issuing shares to specific objects has been approved by the nineteenth meeting of the fourth Board of Directors. It is subject to approval by the Company's shareholders' meeting, review by the Shenzhen Stock Exchange, and registration approval by the China Securities Regulatory Commission before implementation. The final issuance plan shall be subject to the plan approved for registration by the China Securities Regulatory Commission.
(II) The recipients of the shares issued to specific objects shall not exceed 35 specific investors, including qualified domestic institutional investors (QDIIs) and RMB qualified domestic institutional investors (RQDIIs) as defined by the China Securities Regulatory Commission, such as fund management companies, securities companies, wealth management companies, insurance companies, trust companies, financial companies, qualified foreign institutional investors, and RMB qualified domestic institutional investors, as well as other legal persons, natural persons, or other qualified investors as defined by the China Securities Regulatory Commission. Fund management companies, securities companies, wealth management companies, insurance companies, qualified foreign institutional investors, and RMB qualified domestic institutional investors that subscribe with two or more products they manage will be considered as one specific investor. Trust investment companies subscribing as specific investors can only use their own funds.
The final specific investors will be determined by the Company's Board of Directors in consultation with the sponsor (lead underwriter) based on the subscription prices of the investors, in accordance with the principle of price priority, after the issuance application is reviewed by the Shenzhen Stock Exchange and registered with the China Securities Regulatory Commission. If there are new regulations from national laws, regulations, or other normative documents regarding the issuance targets for private placements, the Company will adjust accordingly. All issuance targets will subscribe to the Company's shares in this issuance in cash in RMB at the same price.
