(hereinafter referred to as "Shangshui Intelligent," "the Issuer," or "the Company") is conducting its initial public offering of shares and intends to list on the ChiNext market, in accordance with the "Administrative Measures for the Issuance and Underwriting of Securities" (CSRC Order [No. 228]) (hereinafter referred to as the "Measures"), the "Administrative Measures for the Registration of Initial Public Offerings of Stocks" (CSRC Order [No. 205]), the "Implementation Rules for the Issuance and Underwriting Business of Securities for Initial Public Offerings on the Shenzhen Stock Exchange (2025 Revision)" (SZSE Letter [2025] No. 267) (hereinafter referred to as the "Business Implementation Rules"), the "Implementation Rules for Online Issuance of Stocks for Initial Public Offerings in the Shenzhen Market" (SZSE Letter (2018) No. 279) (hereinafter referred to as the "Online Issuance Implementation Rules"), the "Implementation Rules for Offline Issuance of Stocks for Initial Public Offerings in the Shenzhen Market (2025 Revision)" (SZSE Letter [2025] No. 224) (hereinafter referred to as the "Offline Issuance Implementation Rules"), the "Measures for the Management of Investor Suitability for the ChiNext Market of the Shenzhen Stock Exchange (2020 Revision)" (SZSE Letter (2020) No. 343) (hereinafter referred to as the "Investor Suitability Management Measures"), and the "Rules for Underwriting Business of Initial Public Offerings of Securities" (CSIH Letter [2023] No. 18) (hereinafter referred to as the "Underwriting Business Rules"), and the "Rules for the Management of Offline Investors in Initial Public Offerings of Securities" (CSIH Letter [2025] No. 57) (hereinafter referred to as the "Management Rules"), and the "Guidelines for the Classification and Management of Offline Investors in Initial Public Offerings of Securities" (CSIH Letter [2024] No. ) and other relevant regulations.
The initial inquiry and offline subscription for this offering will be conducted through the SZSE Offline Issuance Electronic Platform (hereinafter referred to as the "Offline Issuance Electronic Platform") and the registration and settlement platform of China Securities Depository and Clearing Corporation Limited Shenzhen Branch (hereinafter referred to as "ChinaClear Shenzhen Branch"). Investors are advised to read this announcement carefully.

Investors are kindly requested to pay close attention to the issuance process, online and offline subscription and payment, and treatment of abandoned shares, among other aspects. The specific details are as follows:
- This offering will be conducted through a combination of: directed placement to investors participating in strategic placement (hereinafter referred to as "Strategic Placement"), inquiry-based placement to eligible investors (hereinafter referred to as "Offline Issuance"), and fixed-price issuance to public investors holding Shenzhen market non-tradable A-shares or non-tradable depositary receipts (hereinafter referred to as "Online Issuance").
The strategic placement, initial inquiry, and online and offline issuance of this offering will be organized and implemented by the sponsor (underwriter), Guolian Minsheng Investment Banking Company Limited (hereinafter referred to as "Guolian Minsheng Investment Banking," "the Sponsor (Underwriter)," or "the Underwriter"). The initial inquiry and offline issuance will be conducted through the SZSE Offline Issuance Electronic Platform (https://eipo.szse.cn) and the ChinaClear Shenzhen Branch registration and settlement platform; the online issuance will be conducted through the SZSE trading system (hereinafter referred to as the "Trading System").
