Announcement on the Renewal of the Concerted Action Agreement by the Company's Joint Controlling Shareholders and Actual Controllers

Suzhou Planning & Design Institute Co., Ltd. (hereinafter referred to as the "Company" or "Suzhou Planning") and its joint controlling shareholders and actual controllers, Mr. Li Feng, Mr. Niu Weidong, Mr. Zhang Jing, and Mr. Zhu Jianwei (collectively referred to as the "Parties"), signed the "Concerted Action Agreement" (hereinafter referred to as the "Original Agreement") on May 5, 2017. The Original Agreement stipulated that its validity period would be three years from the date of signing by all parties until three years after the Company's initial public offering of RMB ordinary shares and listing. Given that the Original Agreement is about to expire, and to ensure the continuity of the Company's operations, stability of control, and consistency of major decisions, the Parties have renewed the "Concerted Action Agreement" (hereinafter referred to as the "Agreement") on July 15, 2026. The specific details are as follows:
I. Background of the Renewal of the Concerted Action Agreement
The Company's joint controlling shareholders and actual controllers, Mr. Li Feng, Mr. Niu Weidong, Mr. Zhang Jing, and Mr. Zhu Jianwei, signed the "Concerted Action Agreement" on May 5, 2017. The Parties agreed to maintain a consistent opinion when proposing motions to the Company's Board of Directors and Shareholders' Meeting, and during voting at the Board of Directors and Shareholders' Meeting. The agreement stipulated that its validity period would be three years from the date of signing by all parties until three years after the Company's initial public offering of RMB ordinary shares and listing. According to the "Approval on the Registration of the Initial Public Offering of Shares of Suzhou Planning & Design Institute Co., Ltd." (Issuance Registration [2023] No. 1025) issued by the China Securities Regulatory Commission, the Company's initial public offering of RMB ordinary shares (A shares) was listed on the ChiNext board of the Shenzhen Stock Exchange on July 19, 2023.
