I. Transaction Overview
Zhuhai Zhiditech Co., Ltd. (hereinafter referred to as the "Company") held the 8th meeting of the 4th Board of Directors on May 29, 2026, and reviewed and approved the "Proposal on the Acquisition of 100% Equity in Fengxu International Investment Co., Ltd.". The Company agreed to acquire 100% of the equity in Fengxu International Investment Co., Ltd. (hereinafter referred to as "Fengxu International") held by the transferors Lu Jinkai and Mai Lixin for RMB 152.2948 million using its own funds or funds raised. Upon completion of this transaction, Fengxu International will become a wholly-owned subsidiary of the Company, and its subsidiary, Vietnam Fengxu Investment Co., Ltd. (hereinafter referred to as "Vietnam Fengxu"), will become a wholly-owned subsidiary of the Company's subsidiary, and will be included in the consolidated financial statements of the Company. II. Signing of the Equity Transfer Agreement
On June 22, 2026, the Company signed the "Equity Transfer Agreement" with the transferors Lu Jinkai and Mai Lixin. The main contents are as follows:
(I) Parties to the Agreement
Transferor (Party A): Lu Jinkai (holding 90% equity in the target company)
Transferor (Party B): Mai Lixin (holding 10% equity in the target company)

Transferee: Zhuhai Zhiditech Co., Ltd.
Target Company: Fengxu International Investment Co., Ltd.
