Regarding Shanghai Weike Precision Molding Co., Ltd.'s Issuance of Convertible Bonds to Unspecified Targets and Listing on the Shenzhen Stock Exchange
To: Shanghai Weike Precision Molding Co., Ltd.
Grandall Law Firm (Shanghai) (hereinafter referred to as "the Firm") has been appointed as the special legal advisor for Shanghai Weike Precision Molding Co., Ltd. (hereinafter referred to as "the Issuer" or "the Company") in its application to issue convertible bonds to unspecified targets and list them on the Shenzhen Stock Exchange (hereinafter referred to as "the Offering and Listing").
Based on the "Securities Law of the People's Republic of China," "Company Law of the People's Republic of China," "Administrative Measures for the Registration of Securities Issuances by Listed Companies," and other relevant laws, regulations, and the China Securities Regulatory Commission's regulations, and in accordance with the "Measures for the Administration of Securities Legal Business of Law Firms" and the "Practice Rules for Securities Legal Business of Law Firms (Trial)," and adhering to the universally recognized business standards, ethical norms, and the spirit of diligence and responsibility of the legal profession, the Firm's lawyers have, based on facts and guided by law, issued this Legal Opinion regarding the listing of the convertible bonds issued by the Company on the Shenzhen Stock Exchange (hereinafter referred to as "the SZSE").
Section 1: Introduction
The Firm's lawyers issue legal opinions based on facts that have occurred or existed prior to the issuance date of this Legal Opinion and the current laws, regulations, and relevant regulations of the China Securities Regulatory Commission, and hereby declare as follows:
(I) The Firm and the handling lawyers have fulfilled their statutory duties in accordance with the "Securities Law," "Measures for the Administration of Securities Legal Business of Law Firms," and "Practice Rules for Securities Legal Business of Law Firms (Trial)," and based on facts that have occurred or existed prior to the issuance date of this Legal Opinion. They have adhered to the principles of diligence, responsibility, and good faith, conducted thorough verification, and ensured that the facts determined in this Legal Opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false statements, misleading representations, or material omissions, and they shall bear the corresponding legal responsibility.
(II) The Firm's lawyers agree that this Legal Opinion shall be used as an indispensable legal document for the Issuer's Offering and Listing, and shall be submitted together with other application materials. The Firm is willing to bear the corresponding legal responsibility.
(III) The Firm's lawyers agree that the Issuer may cite, in whole or in part, or as required by regulatory authorities, the content of this Legal Opinion in its application documents. However, such citation by the Issuer shall not lead to any ambiguity or misinterpretation of the law.
(IV) The Issuer guarantees that it has provided the Firm's lawyers with all necessary true, complete, and valid original written materials, duplicate materials, or oral statements for the issuance of this Legal Opinion.
(V) For facts that are crucial to this Legal Opinion but cannot be independently substantiated by evidence, the Firm's lawyers have relied on certificates issued by relevant government departments, the Issuer, or other relevant entities.
(VI) The Firm's lawyers shall only express opinions on the legality of the Issuer's Offering and Listing and related legal issues. They shall not express any opinions on professional matters such as accounting, auditing, and asset valuation involved in the Issuer's Offering and Listing. Any citation of data or conclusions from accounting statements, audit reports, and asset valuation reports in this Legal Opinion does not imply any express or implied guarantee by the Firm regarding the truthfulness and accuracy of such data and conclusions. The Firm's lawyers do not have the appropriate qualifications to verify and evaluate the content of these documents.
