(hereinafter referred to as "Guotai Huitong", "Sponsor (Lead Underwriter)", or "Lead Underwriter") are organizing the issuance of convertible corporate bonds to unspecified targets (hereinafter referred to as "Convertible Bonds" or "Weike Bonds") in accordance with the "Securities Law of the People's Republic of China", the "Administrative Measures for the Registration of Securities Offerings by Listed Companies" (CSRC Order No. 227), the "Administrative Measures for the Issuance and Underwriting of Securities" (CSRC Order No. 228), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 15 - Convertible Corporate Bonds (2025 Revision)" (Shenzhen Stock Exchange [2025] No. 223), the "Shenzhen Stock Exchange Business Implementation Rules for Securities Issuance and Underwriting by Listed Companies (2025 Revision)" (Shenzhen Stock Exchange [2025] No. 268), and the "Shenzhen Stock Exchange GEM Listed Company Self-Regulatory Supervision Guidelines No. 1 - Business Handling (2026 Revision)" (Shenzhen Stock Exchange [2026] No. 135), and other relevant regulations.
The convertible corporate bonds to be offered to unspecified targets will be preferentially allocated to existing shareholders of the Issuer registered with the Shenzhen Branch of China Securities Depository and Clearing Corporation Limited (hereinafter referred to as "ChinaClear Shenzhen Branch") after the close of trading on the equity registration date (June 26, 2026, T-1 day). The remaining portion after the preferential allocation to existing shareholders (including the portion of preferential allocation waived by existing shareholders) will be offered to public investors online through the Shenzhen Stock Exchange (hereinafter referred to as "SZSE") trading system. Investors are advised to carefully read this announcement and the relevant regulations published on the SZSE website (www.szse.cn).
The following are important reminders regarding the issuance process, subscription, payment, and handling of investor abandonment of subscription for this offering:
-
The preferential subscription period for existing shareholders and the online subscription period for this convertible bond offering are both on June 26, 2026 (T day). The subscription time is T day 9:15-11:30 and 13:00-15:00. When participating in preferential allocation on June 26, 2026 (T day), existing shareholders must pay the full subscription amount within their preferential allocation quota based on the number of convertible bonds to be preferentially allocated. Existing shareholders and public investors do not need to pay subscription funds when participating in the online subscription of the remaining portion after preferential allocation.
-
Investors should determine their subscription amount reasonably in accordance with industry regulatory requirements and their respective asset or capital scale, and shall not subscribe in excess of their asset scale. If the Sponsor (Lead Underwriter) discovers that an investor violates industry regulatory requirements by subscribing in excess of their respective asset or capital scale, it has the right to deem the investor's subscription invalid. Investors should express their subscription intentions independently and shall not authorize securities companies to subscribe on their behalf in a generalized manner.

Investors can only use one securities account to participate in the online subscription of convertible bonds.
