Grandall Law Firm (Shanghai) (hereinafter referred to as "this Firm") acts as the special legal counsel for Shanghai Vico Precision Moulding Co., Ltd. (hereinafter referred to as the "Issuer" or the "Company") in its application for the issuance of convertible corporate bonds to unspecified targets (hereinafter referred to as the "Issuance"), based on the "Non-litigation Legal Services Engagement Agreement" signed with the Issuer.
In accordance with the "Securities Law of the People's Republic of China," the "Company Law of the People's Republic of China," the "Administrative Measures for the Registration of Securities Issuance by Listed Companies," and other relevant laws, regulations, and provisions of the China Securities Regulatory Commission, and in compliance with the requirements of the "Administrative Measures for Law Firms Engaging in Securities Legal Business" and the "Practice Rules for Law Firms Engaging in Securities Legal Business (Trial)," this Firm has conducted verification work based on the facts and the law, adhering to recognized professional standards, ethical norms, and a spirit of diligence, to issue this legal opinion.
