1. Basic Information on Daily Related Transactions
(1) Overview of Daily Related Transactions
- Due to operational needs, Shenzhen Haon Automotive Electronics Equipment Co., Ltd. (hereinafter referred to as "the Company") and its wholly-owned subsidiary Haon Automotive Electronics Equipment (Huizhou) Co., Ltd. (hereinafter referred to as "Huizhou Automotive") and its holding subsidiary Huizhou Haon Intelligent Industry Investment Co., Ltd. (hereinafter referred to as "Haon Intelligent") estimate that in 2026, they will engage in daily related transactions with the Company's affiliated parties Shenzhen Haon Technology Group Co., Ltd. (hereinafter referred to as "Haon Group") and Shenzhen Haon Intelligent IoT Co., Ltd. (hereinafter referred to as "Haon Intelligent Link") with a transaction amount not exceeding 22 million yuan (excluding tax). The actual amount of daily related transactions that occurred in 2025 was 15.3238 million yuan (excluding tax, unaudited).
- On April 2, 2026, the 22nd meeting of the third board of directors of the Company approved the proposal on estimated daily related transactions for 2026 with a vote of 4 in favor, 0 against, 0 abstentions, and 2 recused. Directors Chen Qingfeng and Luo Xiaoping recused themselves from the vote on this proposal. Prior to the board's review, the proposal was approved at the first special meeting of independent directors in 2026 with a vote of 2 in favor, 0 against, and 0 abstentions.
- According to the relevant provisions of the "Shenzhen Stock Exchange GEM Stock Listing Rules" and the Company's "Related Transaction Management Measures," this proposal does not require submission to the shareholders' meeting for approval.
