- The equity change is due to the share reduction plan previously disclosed by Longyan Electronics (Kunshan) Co., Ltd. (hereinafter referred to as "the Company"), Longyan International Co., Ltd. (hereinafter referred to as "Longyan International"), and its concerted party, Kunshan Qun Zhan Consulting Partnership (Limited Partnership) (hereinafter referred to as "Qun Zhan Consulting"). This change does not involve a tender offer and will not result in a change of control of the Company.
- Before this equity change, the controlling shareholder Longyan International and its concerted party Qun Zhan Consulting held a total of 198,450,100 shares, accounting for 70.00% of the Company's total share capital. After this equity change, the controlling shareholder Longyan International and its concerted party Qun Zhan Consulting hold a total of 198,280,400 shares, accounting for 69.94% of the Company's total share capital. This shareholder equity change has reached the 1% threshold.
On May 19, 2026, the Company disclosed the "Announcement on the Pre-disclosure of Share Reduction Plan by the Controlling Shareholder and Its Concerted Parties." The controlling shareholder Longyan International and its concerted party Qun Zhan Consulting planned to reduce their combined holdings of the Company's shares by no more than 5,654,500 shares (accounting for 1.99% of the Company's total share capital) within three months from the date of this announcement, through centralized bidding and block trades. Among them, Longyan International planned to reduce its holdings by no more than 530,000 shares (accounting for no more than 0.19% of the Company's total share capital) through block trades, and Qun Zhan Consulting planned to reduce its holdings by no more than 5,124,500 shares (accounting for no more than 1.81% of the Company's total share capital) through centralized bidding or/and block trades.
