1. Basic Information on Daily Related Transactions
(1) Overview of Daily Related Transactions
- Xinning Electric Co., Ltd. (hereinafter referred to as "the Company") and its subsidiaries estimate that the total amount of daily related transactions with related parties for the year 2026 will not exceed RMB 13.68 million, based on the actual situation of related transactions in 2025 and the business development needs for 2026. The estimated amount for daily related transactions in 2025 was not more than RMB 11.05 million, with an actual amount of RMB 4.6696 million. Transactions with certain related parties exceeded the estimated amount approved by the board of directors or were outside the estimated range, but the excess did not reach the standards for board and shareholder review.
- The Company held its second meeting of the tenth board of directors on March 30, 2026, where the proposal on expected daily related transactions for 2026 was approved. Related directors Hu Zhixing, Hu Zhilin, Zhang Pengchun, and Ye Fang abstained from voting, and the proposal was approved by non-related directors. This matter was also reviewed and approved at the first special meeting of independent directors in 2026. According to the relevant provisions of the Shenzhen Stock Exchange GEM Listing Rules and the Company’s Articles of Association, this proposal does not need to be submitted for shareholder review. The Company and all members of the board guarantee that the content of the information disclosure is true, accurate, and complete, with no false records, misleading statements, or significant omissions.
